Its potential spans from revolutionizing education and healthcare to streamlining government services and supporting small and medium enterprises (SMEs) in content generation and product design. As such, GenAI can play a pivotal role in national socio-economic development by driving innovation, improving service delivery, and creating new economic opportunities. However, this potential must be balanced with proactive governance to mitigate risks such as misinformation, bias, data misuse, and intellectual property infringement. To harness GenAI responsibly, it is critical for governments to develop and adopt comprehensive national guidelines that define ethical boundaries, promote safe and transparent use, and set standards for both public and private sector deployment. Such guidelines should address key areas including data quality and privacy, transparency of AI-generated content, human oversight, accountability mechanisms, and the responsible integration of GenAI into critical infrastructure and public services. A national framework provides clarity for developers, users, and regulators, ensuring that GenAI innovation aligns with national values, legal frameworks, and societal well-being. Several countries have already taken steps in this direction. In the Arab region, Saudi Arabia’s SDAIA (Saudi Data and AI Authority) has issued guidelines for GenAI ethics focusing on fairness, safety, and accountability. The UAE, through its Artificial Intelligence Office, is also advancing efforts to develop policy frameworks that include generative AI within broader ethical and governance strategies. Internationally, the United States released an amendment to the Executive Order on the Safe, Secure, and Trustworthy Development and Use of AI , which includes mandates for managing the risks of GenAI in areas such as deepfakes and cybersecurity. Meanwhile, the European Union (EU) has incorporated GenAI provisions into its landmark AI Act , setting requirements for transparency and labeling of AI-generated content. Establishing national guidelines for GenAI is not merely a regulatory exercise; it is a strategic enabler of innovation, public trust, and global competitiveness. With the right governance, countries can unlock the full value of GenAI while ensuring its development and use remain ethical, inclusive, and aligned with long-term national interests. The United Nations (UN) is involved in enhancing the use of emerging technologies for sustainable development. In September 2024 during the Summit of the Future, world leaders adopted the Pact for the Future and its annexes: the Global Digital Compact (GDC) and Declaration on Future Generations. Among its objectives , GDC aims to enhance the international governance of AI for the benefit of humanity. UN-ESCWA, through its technical cooperation program, is committed to provide technical assistance to its member states to boost national efforts towards the achievement of the 2030 Development Agenda. Recently, the Ministry of Digital Transformation and Modernization of Admin (MTNMA) in Mauritania requested UN-ESCWA’s assistance in developing the national guidelines of GenAI use. The provision of this advisory service is the subject of these terms of reference. DUTIES AND RESPONSIBILITIES The consultant shall propose to the designated ESCWA focal point a detailed version of the national GenAI Guidelines in Mauritania. The expert will be responsible for the following tasks, organized into four phases: Phase 1: Review and Diagnostic • Review best regional and international best practices related to GenAI policies and guidelines (at least 2 selected regional and 2 international cases); • Define the risks associated with the Gen AI application in Mauritania across different sectors. • Identify main national stakeholders, hold, in coordination with MTNMA, interviews and meetings with the main national stakeholders and provide a summary of each meeting/interview of the discussed points, their remarks, observations and proposals; • Contribute to sectoral workshops to discuss needs and priorities, if needed. Phase 2: Development and Drafting • Prepare the needed GenAI Guidelines based on international and regional best practices, gap analysis and national needs (SWOT analysis). Those guidelines should include: - Acceptable use cases for GenAI in public sector in specific; - Type of data that could be used by GenAI; - Transparency and disclosure requirements (e.g., AI-generated content labeling); - Human oversight and accountability; - Data privacy and security considerations; - Intellectual property and content ownership; - Risk mitigation for bias, misinformation, and manipulation. • Ensure alignment with Jordan’s AI strategy and public administration reform agenda. Phase 3: Consultation and Finalization • Contribute to national workshop (physically or remotely) and capture the main comments and discussions. • Update the draft proposal according to all feedback and comments received during the reviewing process by ESCWA and MTNMA teams. • Prepare a short presentation and briefing note summarizing key elements. Phase 4: Advice on Implementation • Provide recommendations on dissemination, and awareness-raising, and implementation. ESCWA promotes gender equality and integration of youth through its publications and therefore the consultant should pay attention, with the help of ESCWA staff, to gender considerations and youth dimension throughout the research work to ensure that the report gives equal attention to the needs of both men and women, as well as girls and boys. Writing should use gender-sensitive language.<br> Qualifications/special skills<br>A masters degree or equivalent in AI, ICT, technology, engineering, computer science or a related field is required. A Ph.D. degree is desirable. All candidates must submit a copy of the required educational degree. Incomplete applications will not be reviewed. At least 10 years of professional experience in technology related issues including 5 years in the domain of digital technologies is required. Previous experience in the development of national policies and strategies is required. Previous experience in the delivery of research papers is desirable. SCOPE OF WORK, RESPONSIBILITIES AND DESCRIPTION OF THE PROPOSED ANALYTICAL WORK Under the guidance and supervision of the Rule of Law and Governance Chief Technical Advisor, and taking into account and complementing previous and ongoing UNDP led efforts on the Justice Forum , the key responsibilities and scope of work include, but are not limited to: 1. Technical support provided to the thematic group s meetings on Juvenile Justice and Child Protection Provide substantive and organizational support to the thematic group on Juvenile Justice and Child Protection by undertaking the following: • a. Preparation: Developing core meeting documents, including targeted agendas and the overall structural framework for each session. • b. Research &amp; Documentation: Conducting specialized legal and institutional research to draft background papers, briefing notes, and supporting documents that inform and steer the thematic group s deliberations. • c.Facilitation &amp; Reporting: Steering and facilitating working group meetings, capturing technical discussions, and drafting official meeting minutes. • d. Follow-up: Preparing post-meeting action documents and conducting necessary follow-up consultations with key national stakeholders. • e. Coordination: Actively participating in all preparatory, coordination, and debriefing meetings with the UNDP technical team to ensure strategic alignment. 2. Consolidation of recommendations stemming from the Juvenile Justice and Child Protection thematic group • a. Synthesize the technical findings, discussions, and conclusions emerging from the Justice Forum's thematic groups and translate them into concrete, actionable and sequenced policy recommendations. EXPECTED OUTPUTS AND DELIVERABLES The consultant is expected to complete the above tasks and activities, noting that the total duration should not exceed 3 months with 7 working days per month. INSTITUTIONAL ARRANGEMENTS • The consultant will work under the overall guidance of the Governance and Rule of Law Chief Technical Advisor. • The title rights, copyrights and all other rights whatsoever nature in any material produced under the provisions of this TOR will be vested exclusively in UNDP. UNDP has full ownership of the activity and of its final product. Thus, any public mention (including through social media) about the activity should state clearly that ownership. In addition, any public appearance related to the activity should be coordinated and approved by UNDP. • UNDP will be responsible for providing the contractor with all necessary materials related to the project in a timely, thorough, and transparent manner. The required deliverables comprise: a complete Proxmox cluster optimization and high-availability (HA) baseline consisting of a health check, resource tuning, and failover configuration for production virtualization nodes; a storage expansion and virtual machine provisioning framework detailing the successful integration and masking of new LUNs alongside resource allocation strategies; and dedicated operational support for hosted applications, including resolution logs and step-by-step troubleshooting runbooks for on-premises, customer-facing platforms to minimize operational downtime. ESCWA provides a framework for the formulation and harmonization of sectoral policies for member countries, a platform for congress and coordination, a home for expertise and knowledge, and an information observatory. The Decision-Support and Data Science Division is part of ESCWA's broader modernization and innovation efforts, providing advanced analytics, secure digital platforms, and decision-support services within ESCWA, other UN entities, and Member States. Aligned with the UN 2.0 agenda and grounded in operational resilience, DSDS leverages cutting-edge infrastructure, enterprise virtualization, and scalable technology frameworks to ensure high availability, security, and performance for critical digital assets. Its core functions include virtualization cluster management, storage provisioning, container orchestration, the administration of on-premises hosted applications for external partners, and the modernization of legacy enterprise systems. Through these capabilities, DSDS maintains reliable, enterprise-grade digital decision-support tools that empower evidence-based decision-making and foster organizational efficiency across the region. Under the supervision of the Chief of the Decision-Support and Data Science Division and in close collaboration with the infrastructure and digital development teams, the Individual Contractor (IC) will support the development, virtualization, maintenance, and optimization of core infrastructure systems and architectures to support strategic initiative delivery. Duties and responsibilities: The Virtualization and Systems Administrator will perform the following tasks: System Administration: o Administer and maintain Proxmox virtualization clusters hosting production and development workloads. o Managed VM provisioning, cloning, snapshots, backups, and lifecycle operations. o Configured high availability (HA) and failover mechanisms for critical business applications. o Performed cluster monitoring, capacity planning, and resource optimization across compute and storage nodes. o Managed virtual networking, VLANs, bridges, and inter-VM connectivity. o Monitored cluster health, CPU, memory, storage, and network performance. o Diagnosed and resolved virtualization, storage, and networking issues impacting production services. o Tuned virtual machine resource allocations to improve performance and infrastructure efficiency. o Conducted regular maintenance, upgrades, and security patching of Proxmox nodes. o Administered Kubernetes clusters, including deployment, scaling, monitoring, and troubleshooting of containerized applications to ensure high availability and reliable service delivery. Storage Allocation &amp; Administration: o Conduct storage volume management tasks, introducing, configuring, and masking new LUNs from the storage networks to the virtualization clusters. o Optimize high-throughput storage paths and performance partitioning strategies to eliminate application latencies. On-Premises Application Support &amp; Maintenance: o Provide operational support for specialized on-premises applications hosted internally for external partners and customers. o Debug application layer issues, service disruptions, and database connectivity dropouts to maximize system uptime. o Manage containerized application stacks using Kubernetes, ensuring deployment, resource scaling, and service discovery remain active. GENERAL SCOPE The widespread adoption of information and communications technologies (ICTs) across public and private institutions has made the establishment of comprehensive cyber and data related legislation imperative. In the Arab region, many countries have made progress in developing cyber laws; however, the rapid evolution of digital services—such as cloud computing, artificial intelligence (AI), platform economies, and cross border data flows—continues to outpace existing legal frameworks. To fully harness the benefits of digital transformation while addressing risks related to privacy, security, and misuse of data, Arab countries are encouraged to develop and modernize their legislative frameworks to meet the demands of the digital age. At the global level, the UN promotes responsible, inclusive, and trustworthy use of digital and emerging technologies in support of sustainable development. In September 2024, world leaders adopted the Pact for the Future during the Summit of the Future, together with its annexes: the Global Digital Compact (GDC) and the Declaration on Future Generations. The GDC places strong emphasis on digital trust, effective digital governance, and the protection of human rights in the digital environment. Central to these objectives is the protection of personal data, which the GDC recognizes as a cornerstone of trust in digital systems and a prerequisite for people’s safe and meaningful participation in the digital economy. The UN ESCWA has a long standing role in supporting its member States in the development and reform of cyber legislation. In 2007, UN ESCWA published Models for Cyber Legislation in UN ESCWA Member Countries, which reviewed regional and international legal developments and proposed practical templates to assist countries in assessing and harmonizing national cyber laws. Through its technical cooperation program, UN ESCWA continues to support member States in strengthening legal, institutional, and regulatory capacities related to digital and emerging technologies, including data protection and regulatory oversight. Recently, the Ministry of Telecommunications and Information Technology (MTIT) in Yemen has requested UN ESCWA’s advisory services to support the development of a personal data protection law aligned with international standards and regional best practices. Such a law would contribute to strengthening trust in digital services, protecting individuals’ rights, and supporting Yemen’s broader digital transformation efforts in line with global developments, including the principles set out in the GDC. In response, UN ESCWA is engaging a qualified legal consultant to provide specialized expertise in personal data protection, with specific attention to the Yemeni legal and institutional context. Yemen's ongoing conflict and fragile institutional environment require that the draft law include a realistic implementation sequencing recommendation, identifying which provisions can be operationalized in the near term and which require institutional prerequisites, such as the establishment of a data protection authority. The consultant shall draw on established international frameworks including the EU General Data Protection Regulation (GDPR), the OECD Guidelines on the Protection of Privacy and Transborder Flows of Personal Data (2013 revision), the Council of Europe Convention 108+, and the Arab League's draft model data protection law, selecting and adapting provisions appropriate to Yemen's legal, institutional, and developmental context. This consultancy is part of a coordinated package of three inter-related legal instruments being developed simultaneously for Yemen: Access to Information Law, Personal Data Protection Law, and an e-Transactions and Trust Services Law. The consultant shall be aware of this broader legislative package and shall flag, in the drafting notes annex, any provisions in the assigned law that intersect with or depend upon the other instruments, to ensure coherence across the three laws. The advisory services, including the scope of work and expected outputs, are detailed in these Terms of Reference. III. DUTIES AND RESPONSIBILITIES The consultant shall propose to the designated ESCWA focal point a detailed version of the report on personal data protection law. To produce the draft report, the consultant is requested to conduct, among others, the main following tasks: 1. Benchmarking and Best Practices • Review current national laws related to digital and emerging technologies in Yemen; • Review best regional and international practices in personal data protection law covering at least 2 regional cases and 2 international cases, with justification for case selection provided in the report; 2. Stakeholder Engagement • Identify main national stakeholders, hold, in coordination with MTIT, interviews and meetings with the main national stakeholders and preparing minutes of each meeting/interview summarizing the discussed points, their remarks, observations and proposals; • Contribute to sectoral workshops to discuss needs and priorities, if needed; • Discuss priorities and needs with MTIT and ESCWA; • Document findings, priorities, and challenges. 3. Situational analysis • Analyze existing legislation, and regulatory frameworks, including data-related provisions currently embedded in Yemen's telecommunications law, e-government frameworks, and sector-specific regulations, mapping these against international PDPL standards; • Conduct a comprehensive gap analysis to identify gaps, overlaps, and contradictions with international PDPL standards 4. Law Development • Draft a suggested law based on national needs, gap analysis, international/regional best practices, and ESCWA template for cyber legislations. The draft Personal Data Protection Law (PDPL) shall include, at a minimum: o Preamble, objectives, and guiding principles (including lawfulness, fairness, transparency, purpose limitation, data minimisation, accuracy, storage limitation, integrity, and confidentiality); o Definitions and material/territorial scope of application (including extraterritorial reach, where applicable); o Legal bases for processing personal data, including consent, contractual necessity, legal obligation, vital interests, public interest, and legitimate interests, with specific conditions for validity of consent; o Special categories of personal data (sensitive data) and rules governing their processing, including additional safeguards; o Data subject rights, including access, rectification, erasure, restriction of processing, data portability, objection, and rights related to automated decision-making and profiling; o Obligations of data controllers and data processors, including accountability, record-keeping, data protection by design and by default, use of processors, and contractual requirements; o Transparency and information obligations, including privacy notices and communication requirements; o Data security requirements, including technical and organisational measures; o Personal data breach notification and incident response obligations, including notification to the supervisory authority and, where applicable, affected data subjects; o Data protection impact assessments (DPIAs) and prior consultation mechanisms for high-risk processing; o Appointment and role of data protection officers (DPOs), where required; o Cross-border data transfer rules, including adequacy mechanisms, appropriate safeguards, and specific consideration of GCC and Arab regional frameworks; o Supervisory authority: establishment, independence, powers, functions, and cooperation mechanisms (including international cooperation); o Complaints, remedies, and judicial redress mechanisms for data subjects; o Administrative sanctions, penalties, and enforcement mechanisms; o Exemptions and derogations, including for national security, public interest, research, and journalistic purposes, subject to safeguards; o Specific provisions for children’s data, where applicable; o Transitional provisions and entry into force. 5. Validation and Consultation • Present and discuss, under the guidance of ESCWA and MTIT teams, the draft law with national entities in an enlarged meeting or workshop; • Update and enrich the suggested draft based on the comments received during the workshop/meeting and from ESCWA and MTIT team. 6. Finalization • Deliver a final report that includes a summary of implemented activities with the suggested law, and an implementation annex proposing a phased roadmap for the law's entry into force. ESCWA promotes gender equality and integration of youth through its publications and therefore the consultant should pay attention, with the help of ESCWA staff, to gender considerations and youth dimension throughout the research work to ensure that the report gives equal attention to the needs of both men and women, as well as girls and boys.
